1. Who we are

RepoOps is a product operated by PromptReports LLC, an Illinois limited liability company (“RepoOps”, “we”, “our”). Contact: support@repoops.ai. These Terms govern your use of (a) the free localhost desktop app published as repoops-desktop on npm and the Releases page, and (b) the hosted surfaces at repoops.ai (the marketing site, sign-in, billing, team management, hosted dashboard).

2. The desktop app - your machine, your data

The desktop app runs entirely on your machine. It reads .claude/brain/, docs/, and Claude Code telemetry JSONL files in repos you explicitly add. It does not send any of that content to RepoOps servers unless you explicitly opt in by binding the install to a hosted team. The desktop app is licensed, not sold, and free for individual, single-developer use at no charge under the LICENSE file shipped in the npm package. It is not open source: no right is granted to redistribute, resell, publish, sublicense, or create derivative works of it. Team and Enterprise use requires a paid subscription.

3. BYOK - Anthropic API content never touches us

On the desktop app, Brain Dreaming and Ask synth call the Anthropic API directly from your machine using your own API key (BYOK), and we never see those prompts, completions, or Anthropic-billed usage. On the hosted tier, Ask synth and Brain Dreaming run on our servers under our own Anthropic key, subject to per-plan quotas. Your relationship with Anthropic - including their commercial terms and privacy policy - is solely between you and Anthropic. On the desktop app these calls run under your own Anthropic key, so for that BYOK usage Anthropic acts as your own sub-processor. Anthropic is also listed, with that BYOK note, in the RepoOps sub-processor table in our Privacy Policy and DPA, so the two surfaces agree.

4. Hosted accounts & teams

Hosted features at repoops.ai (sign-in, billing, hosted dashboard, team management, SAML/SCIM) require a free or paid account. You are responsible for the security of your sign-in credentials and for the acts of users you invite to a team you own. We’ll suspend accounts used to harass others, abuse the platform, or violate applicable law.

5. Subscriptions, payment, and refunds

Paid plans (Solo Hosted $25/mo, Team $50/seat/mo, and Enterprise - contact sales) are billed via Stripe monthly or annually. Annual = 12 months for the price of 11 (roughly 8% off). See the refund & cancellation policy for pro-rated refund rules, downgrade behavior, and dispute process.

6. Acceptable use

No reverse-engineering for the purpose of building a competing product, and no redistribution or resale of the desktop app - it is licensed, not sold (see the LICENSE file), not open source.
No attempts to circumvent license validation on paid tiers.
No use of the hosted surfaces to ingest content you do not own or have rights to.
No re-distribution of paid content (rule sets, evals, marketplace items) in violation of the original author’s license.

7. Disclaimers & limit of liability

The desktop app and hosted surfaces are provided “as is”without warranty of any kind. To the maximum extent permitted by law, RepoOps’ aggregate liability for any claim arising from your use of the services is limited to the amounts you paid us in the twelve months preceding the claim, or US$100, whichever is greater.

8. Termination

You may stop using the desktop app at any time by uninstalling it. You may close your hosted account at any time via /account/delete(GDPR DSAR self-service). We may suspend or terminate accounts that violate these Terms; we’ll give notice and a chance to cure when practical.

9. Governing law

These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict of laws principles. Disputes are resolved in the state or federal courts located in Illinois.

10. Changes

We’ll post any material change here and update the Last updated date. If we make a change that materially reduces your rights, we’ll email account holders at least 14 days before it takes effect.
